This Confidentiality Agreement (“Agreement”) is between you, and the dealership you represent, and the provider of Linchpin DMS (the “Platform”), effective on the date you sign below.
1. Confidential Information. “Confidential Information” means the Platform and all non-public information you access through it — including its pages, screens, designs, features, functionality, interfaces, workflows, pricing, roadmap, and documentation — and any information a reasonable person would understand to be confidential.
2. Your obligations. You agree to keep the Confidential Information strictly confidential, use it solely to operate your own dealership, and not copy, screenshot, record, reproduce, publish, distribute, demonstrate, or otherwise disclose any part of it to any third party.
3. No competitor access. You will not disclose or describe the Platform to any competitor of the Platform or its owner, and will not use the Confidential Information to build, assist, benchmark against, reverse engineer, or improve any competing product or service.
4. Authorized users. You may allow your own employees to use the Platform for your dealership only, provided they are bound by confidentiality obligations at least as protective as these; you remain responsible for their compliance.
5. Term. These obligations apply while you have access to the Platform and continue for three (3) years after your access ends; obligations for trade secrets continue for as long as the information remains a trade secret.
6. Remedies. You acknowledge that unauthorized disclosure or use may cause irreparable harm for which monetary damages are inadequate, and that the Platform owner may seek injunctive relief in addition to any other available remedy.
7. Acknowledgment. By typing your name and checking the box below, you confirm that you are authorized to accept this Agreement on behalf of your dealership, that you have read and understood it, and that your electronic signature is legally binding.
