These Terms of Use ("Terms") govern your access to and use of the DealerPro platform and related services (the "Service"), operated by Sieva Networks ("we", "us", "our"). By accessing or using the Service, you ("you", "Customer", or the "Dealership") agree to these Terms. If you are accepting on behalf of a dealership or other entity, you represent that you are authorized to bind that entity. If you do not agree, do not use the Service.
1. The Service
DealerPro is a dealer management and operations platform for vehicle dealerships, including inventory, customer management, contracts, invoicing, accounting, scheduling, communications, and optional third-party integrations (such as Zoom). We may add, change, or remove features over time.
2. Accounts & eligibility
- You must provide accurate information and keep your credentials secure.
- You are responsible for all activity under your account and your authorized users.
- You must be at least 18 and authorized by your organization to use the Service on its behalf.
- Notify us promptly of any unauthorized access to your account.
3. Subscriptions, fees & billing
Paid plans are billed in advance on a recurring basis according to the plan and cycle you select. Unless otherwise stated: fees are non-refundable; subscriptions renew automatically for successive periods unless cancelled before the renewal date; we may change fees on notice effective at your next renewal; and you are responsible for applicable taxes. Late or failed payments may result in suspension. Free, trial, or demo accounts are provided "as is" and may be modified, limited, or discontinued at any time.
4. Acceptable use & restrictions
You agree not to, and not to permit any user or third party to:
- violate any law or third-party rights, or use the Service to send unlawful, abusive, or unsolicited communications;
- attempt to gain unauthorized access to the Service or its data, or interfere with or disrupt the Service;
- copy, frame, mirror, resell, sublicense, or rent the Service, or provide it to any third party other than your own authorized users;
- reverse engineer, decompile, or attempt to extract source code except as permitted by law;
- disclose, screenshot, reproduce, publish, or share the Service, its pages, screens, pricing, or non-public features with any competitor, or use the Service to build, assist, or benchmark a competing product.
5. Third-party integrations (including Zoom)
The Service can connect to third-party services that you authorize, such as Zoom. Your use of those services is also subject to their terms and policies (e.g., Zoom's Terms of Service). When you connect Zoom, you authorize DealerPro to create, update, and delete Zoom meetings on your behalf that correspond to your appointments, as described in our Zoom Integration page and Privacy Policy. You may disconnect any integration at any time. We are not responsible for third-party services or their availability.
6. Customer data & privacy
As between the parties, you own the data you submit ("Customer Data"). You grant us a limited license to host, process, transmit, display, and back up Customer Data solely to provide and support the Service. You are responsible for the accuracy and legality of Customer Data and for obtaining all rights and consents necessary for any data you input, including contacting customers via the Service's communication features. Your use of the Service is also governed by our Privacy Policy.
7. Intellectual property
The Service, including its software, design, and content (excluding your data), is owned by Sieva Networks and its licensors and is protected by applicable laws. We grant you a limited, non-exclusive, non-transferable, non-sublicensable right to use the Service in accordance with these Terms. You retain ownership of the data you submit. Feedback you provide may be used by us without restriction.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
9. Limitation of liability
To the maximum extent permitted by law, Sieva Networks will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Service. Our total aggregate liability arising out of or related to the Service will not exceed the amounts you paid us for the Service in the twelve (12) months preceding the claim.
10. Indemnification
You will defend and indemnify Sieva Networks against claims arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of law or third-party rights.
11. Term & termination
We may suspend or terminate access to the Service if you breach these Terms, fail to pay, or to protect the Service and its users. You may stop using the Service at any time. On termination, your right to use the Service ends; you may request an export of your Customer Data within 30 days, after which we may delete it in the ordinary course, subject to legal retention requirements. Provisions that by their nature should survive termination will survive.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the jurisdiction in which Sieva Networks is established, without regard to its conflict-of-laws principles, unless a separate signed agreement between us provides otherwise.
